GENERAL

This Agreement shall be given effect to the fullest extent permissible by law.  In case any one or more of the provisions contained in this agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions hereof, and this Agreement shall be construed to give maximum legal effect to the intent expressed herein.  This Agreement is governed by, and construed in accordance with the laws of the Commonwealth of Kentucky, without giving effect to any principles of conflicts of law.  You hereby consent to the exclusive jurisdiction and venue of the courts of the Commonwealth of Kentucky or, if appropriate, the United States District Court for the Eastern District of Kentucky for the resolution of all disputes arising out of or relating to the use of this website and the associated services.  USEF may assign this Agreement, in whole or in part, at any time.  This Agreement coupled with the USEF Privacy Policy constitutes the entire Agreement between USEF and the user with respect to this website, and these agreements supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between USEF and the user with respect to the website.

USEF’s performance of this Agreement is subject to existing laws and legal process.  Nothing contained in this Agreement is in derogation of USEF's right to comply with governmental, court and law enforcement requests relating to your use of the website, or information collected by USEF in connection with such use.

All rights not expressly granted herein are reserved exclusively and entirely to USEF. Nothing on this website shall be construed as conferring any license under any intellectual property right, including any right in the nature of trademark or copyright, of USEF or any third party, whether by estoppel, implication, or otherwise.  All trademarks and trade names are the property of their respective owners.  Except as otherwise noted, USEF is the owner of all trademarks and service marks on this website, whether registered or not.
